This Master Terms of Service Agreement ("Agreement") is a high-level legal contract between you and CAR:estify ("the Company," "we," "us," or "our"). This Agreement governs your entire lifecycle of interaction with the website located at https://www.carestify.ca (the "Site") and all associated AI-driven valuation tools, API interfaces, and proprietary market reports (collectively, the "Services"). By interacting with any element of our infrastructure, you confirm that you have attained the age of majority in your province of residence and possess the legal capacity to enter into this binding covenant. If you do not agree to every clause in this Agreement, you are strictly prohibited from utilizing our Services.

1. Legal Agreement and Binding Nature

This Agreement is binding and enforceable to the maximum extent permitted by applicable law. Continued use of the Site constitutes ongoing acceptance of these Terms and any future revisions.

2. The CAR:estify Mission and Service Scope

CAR:estify operates as a sophisticated data aggregation and neural-network-based synthesis platform. Our mission is to democratize automotive market transparency across Canada. We provide users with Estimated Residual Values (ERV) and Market Pulse Reports generated by cross-referencing active and historical listing points across the Canadian market. Services may include depreciation forecasting, regional demand heatmaps, and trade-in gap analysis.

3. Jurisdictional Specificity: The Canadian Context

CAR:estify is built for the Canadian market. Automotive valuation outputs may account for provincial tax variations (PST, GST, HST), regional climate impacts such as salt-belt wear, metric standardization in kilometers, and import-export dynamics influenced by CAD/USD exchange rate movements.

4. Critical Financial Disclaimer and Non-Reliance

CAR:estify is not a licensed motor vehicle dealer, insurance adjuster, or professional financial auditor. All outputs are informational and estimate-based only. No algorithm can fully capture physical, mechanical, or aesthetic factors present in real-world inspection environments. Any decision to buy, sell, trade, finance, or otherwise transact is made at your sole discretion and risk.

5. Extended Limitation of Liability (Ironclad Defense)

To the maximum extent permitted by the laws of British Columbia and Canada, CAR:estify and its stakeholders are not liable for direct, indirect, incidental, consequential, exemplary, or special damages arising from use of, or reliance upon, the Services. This includes market fluctuation losses, negotiation failures, mechanical latency impacts, and opportunity costs resulting from delayed or missed transactions.

6. Data Integrity and the User-Accuracy Covenant

You agree to provide truthful and accurate inputs, including odometer readings in kilometers, correct trim level, and accurate accident or claim history disclosures. Any manipulation using fraudulent VIN entries, dummy data, or systemic distortion attempts constitutes a material breach and may result in permanent access restrictions, including IP blocking and legal action.

7. Intellectual Property and Proprietary Logic

The CAR:estify Engine, including model architecture, tuning logic, data synthesis methods, and report formatting systems, is protected by copyright, trademark, and trade secret laws. You may not copy, reproduce, redistribute, decompile, reverse-engineer, or otherwise exploit our proprietary systems without prior written permission.

8. No-Scraping and Bot-Protection Policy

Automated extraction through bots, spiders, scripts, or similar tooling is strictly prohibited, especially where intended for resale, data replication, or training competing systems. Unauthorized scraping may trigger immediate cease-and-desist measures, access revocation, and legal remedies under Canadian intellectual property and contract law.

9. Privacy, Data Harvesting, and PIPEDA Compliance

We handle personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy obligations. Vehicle-level data may be anonymized and aggregated to improve modeling quality. Payment data, where applicable, is processed by PCI-compliant third-party processors and is not stored directly on our core servers.

10. Third-Party Links and External Advertisements

CAR:estify may display links or placements from third-party services, including ad-supported integrations such as Google AdSense, marketplaces, and local dealership websites. We do not control or endorse third-party content, policies, or business practices. Transactions initiated with external entities are solely between you and those parties.

11. Indemnification and Legal Defense

You agree to indemnify, defend, and hold harmless CAR:estify, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or related to your access to or misuse of the Site and Services.

12. Force Majeure and System Downtime

CAR:estify is not liable for delay or failure caused by events outside reasonable control, including infrastructure disruption, communications failure, cloud platform outages, line-noise interference, or emergency maintenance conditions. We reserve the right to suspend services as needed to maintain system integrity.

13. Severability and Entire Agreement

If any provision is held invalid or unenforceable, the remaining provisions remain fully effective. This Agreement constitutes the complete and exclusive understanding between you and CAR:estify regarding use of the Site and Services.

14. Governing Law: The Province of British Columbia

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada. You agree that courts located in Vancouver, British Columbia, have exclusive jurisdiction for legal proceedings arising from this Agreement, except where mandatory law requires otherwise.

15. Termination of Access

We may terminate or suspend access to the Site at any time, with or without notice, including for breach of these Terms. Upon termination, all rights and licenses granted to you under this Agreement immediately cease.
